2. Client Responsibilities

• Provide accurate, up-to-date information and materials necessary for the execution of services.

• Ensure compliance with applicable laws and advertising regulations in their jurisdiction.

• Maintain access to required accounts (e.g., Meta, Google, website hosting, CRM) for service delivery.

• Review and approve deliverables in a timely manner.

3. Payment & Fees

• All fees will be agreed upon in writing prior to the start of services.

• Payments are due according to the agreed schedule (monthly, quarterly, or project-based).

• Late payments may result in suspension of services.

• All fees are non-refundable unless otherwise specified in the service agreement.

4. Results Disclaimer

While Spacegrowers uses proven strategies and best practices, we do not guarantee specific results (e.g., number of clients, revenue increase, ranking position) due to factors beyond our control, such as market conditions, competition, and algorithm updates.

5. Intellectual Property

• Any materials provided by the client remain the client’s property.

• Materials created by Spacegrowers (e.g., ad creatives, website content, campaign strategies) remain the intellectual property of Spacegrowers until all invoices are paid in full.

• Upon full payment, ownership of final deliverables is transferred to the client unless otherwise agreed.

6. Confidentiality

Both parties agree to keep confidential all non-public information obtained during the collaboration. Confidential information will not be disclosed to third parties without prior written consent, except as required by law.

7. Limitation of Liability

• Spacegrowers will not be held liable for indirect, incidental, or consequential damages resulting from the use of our services.

• Our liability for direct damages is limited to the total amount paid by the client for the specific service giving rise to the claim.

8. Termination

• Either party may terminate the agreement with 30 days’ written notice.

• Spacegrowers reserves the right to terminate services immediately in case of non-payment, misuse of services, or violation of these Terms.

• Upon termination, the client is responsible for payment of all services rendered up to the termination date.

9. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of New Your State, the USA. Any disputes shall be resolved in the competent courts of New Your State, the USA.
